1. Who we are and what these terms apply to
These general terms and conditions apply to all quotes, agreements and work of BXT Solutions, a sole proprietorship located at Grootzeil 13, 3891 KH Zeewolde, the Netherlands, registered with the Dutch Chamber of Commerce under number 92942962 (BXT). The customer (the client) is generally a business. If the client is a consumer, their mandatory statutory rights always remain in force and prevail if these terms conflict with them. Deviations from these terms only apply if agreed in writing. The client's own terms do not apply.
2. Definitions
Services are the work and products of BXT, such as websites, SEO and AEO, software and SaaS, AI and automation, and hosting, maintenance and security. A subscription is a service provided against a recurring fee. Software is the software of BXT, such as Stylrs and Werkwijzer. Set-up fees are the one-off costs for designing and setting up a website.
3. Quote and agreement
Quotes are valid for 30 days unless stated otherwise. All prices are in euros and exclude VAT unless expressly stated otherwise. The agreement is formed when the client accepts the quote, also digitally, or when BXT starts work at the client's request. Obvious mistakes or errors in a quote do not bind BXT. These terms are on our website and are sent along with the quote. We will always send them on request.
4. Performing the service
BXT performs the work to the best of its knowledge and ability and with the care of a good professional. Unless a result has been expressly promised, this is an obligation to use best efforts. BXT may engage third parties. The client provides all information, texts, images, access details and decisions that BXT needs in good time. If the client supplies these late or incomplete, the schedule shifts and extra costs may arise. Stated delivery times are indicative and not strict deadlines. An average business website is usually ready within one to two weeks. For software and SaaS projects we agree the schedule in consultation.
5. Supplied content
The client guarantees that it has the right to use and publish all supplied texts, photos, logos and other materials and that they do not infringe third-party rights. The client indemnifies BXT against third-party claims in this respect. BXT may remove content that is unlawful or infringes the rights of others.
6. Set-up fees and payment in advance
For designing a website, one-off set-up fees of EUR 50.00 excluding VAT apply. The client pays these in advance, before BXT starts the work. Once BXT has started, the set-up fees are not refunded, even if the client ends the agreement before delivery. For consumers, the article on the right of withdrawal also applies. For other, separate projects, unless agreed otherwise: 50% in advance and 50% on delivery.
7. Delivery and acceptance
When the website or product is ready for review, BXT lets the client know. The client has 14 days to test it and report defects. During that period BXT processes up to two correction rounds at no extra cost. The work is deemed approved when the client confirms it, or if the client does not respond within 14 days, or if the client starts using it. Minor defects that do not hinder use are no reason to withhold approval. After approval, BXT puts the website live.
8. Subscriptions: start and term
A subscription for a website starts the moment the website is live. Other subscriptions start on the date stated in the quote, or on activation. For a website, hosting and maintenance, and SEO and AEO, a minimum term of 6 months applies. After that the subscription continues monthly. For a website and for hosting and maintenance, the client can cancel with a notice period of 2 months. For SEO and AEO the notice period is 1 month. A SaaS subscription can be cancelled monthly with a notice period of 1 month. Cancellation can be in writing or by email and takes effect at the end of a month. If the client cancels within the minimum term, or otherwise stops early, the client remains liable for the fees for the remaining months of that minimum term.
9. Prices, payment and direct debit
The fee for subscriptions is paid monthly in advance by automatic SEPA direct debit. The client provides a mandate for this. Direct debits run through our payment partner. The client pays other invoices within 14 days of the invoice date. BXT may adjust the prices of ongoing subscriptions once a year, for example for inflation or higher costs from third parties, and announces this at least 30 days in advance. Objections to an invoice must be reported in writing within 14 days of the invoice date.
10. Late or failed payment
If the client does not pay on time, the client is in default without notice of default. If the client is a business, it owes the statutory commercial interest and the statutory extrajudicial collection costs. If the client is a consumer, BXT follows the statutory procedure, including a reminder. If a direct debit is reversed, refunded or fails for a reason attributable to the client, BXT charges EUR 20.00 administration costs, plus the costs that the payment partner or bank charges to BXT. BXT may suspend the service if a payment is still outstanding after 7 days, without becoming liable for damages. The client remains liable for the subscription fees.
11. Additional work
Work outside the agreed scope is additional work. BXT charges additional work at an hourly rate of EUR 30.00 excluding VAT, unless agreed otherwise. Where possible, BXT tells the client beforehand that it concerns additional work.
12. Maintenance and support
What a maintenance subscription includes is stated in the quote or in the description of the service. It generally consists of keeping up with updates, security, backups and monitoring of the website. Changes and extensions to the website count as additional work, unless included in the quote. We aim to answer questions and issues within one working day. This is an aim and not a guarantee.
13. Hosting, domain names and availability
BXT provides hosting through a hosting partner. BXT aims for the highest possible availability, but cannot guarantee uninterrupted availability. Maintenance may cause short interruptions. A domain name is registered in the client's name, unless agreed otherwise. The terms of a hosting partner or domain registrar also apply to the use of that partner.
14. SEO and AEO
BXT carries out SEO and AEO with care and based on data, but does not guarantee any particular position, number of visitors or other result. Search engines and AI applications decide for themselves how they show results and may change how they work. The result also depends on factors outside BXT's influence, such as competition and the content supplied by the client.
15. Software and SaaS
For the duration of the subscription, the client receives a non-exclusive, non-transferable right to use the software. The software and the source code remain the property of BXT. The client uses the software only for its own business, keeps its login details secret and is responsible for what it and its users do in the software. BXT may modify and improve the software. When the subscription ends, the client can request an export of its own data within 30 days. After that BXT deletes the data.
16. Ownership and buy-out
As long as a subscription runs, BXT remains the owner of the website, the design, the programming and the software. The client receives a right of use for the duration of the subscription. The client's texts, photos, logo and domain name remain the client's. The client can buy out the website or program for a purchase price. The purchase price is stated in the quote. After full payment of the purchase price, BXT transfers the website or program, except for third-party components that have their own licences. If the subscription ends without a buy-out, the website is taken offline and the client is entitled to a copy of its own texts and images.
17. Portfolio and references
BXT may show the delivered work and the client's name as a reference, for example on the BXT website. The client can refuse this in writing at any time.
18. Confidentiality
Both parties keep confidential information they receive from each other secret and use it only to perform the agreement. This also applies after the agreement ends.
19. Liability
BXT's liability is limited to the amount the client paid to BXT in the 12 months before the event, with a maximum of the amount paid out in the relevant case by BXT's insurance if that is higher. BXT is not liable for indirect damage, such as lost turnover, lost profit, loss of data or reputational damage. BXT is also not liable for shortcomings of third parties, such as hosting partners and payment services. These limitations do not apply in case of intent or deliberate recklessness of BXT. A claim lapses if the client does not report it in writing within 12 months of discovering the damage. For consumers the statutory rules apply.
20. Force majeure
BXT is not obliged to perform if this is prevented by a circumstance beyond its control, such as failures at hosting or internet providers, cyber attacks, illness, government measures and power outages. BXT may then suspend the agreement or, if the force majeure lasts longer than 60 days, terminate it.
21. Suspension and termination
BXT may suspend performance or terminate the agreement if the client fails to fulfil its obligations, goes bankrupt, applies for suspension of payments or ends its business. The client then remains liable for the costs already incurred and the amount owed.
22. Right of withdrawal for consumers
A consumer has 14 days to withdraw from a distance agreement without giving a reason. If the consumer expressly asks BXT to start the service within that period, we ask the consumer beforehand to expressly confirm this and to declare that, on full performance, the right of withdrawal is waived. If the consumer withdraws before the service has been fully performed, they pay a proportionate part for what has already been delivered.
23. Complaints
The client reports complaints as soon as possible, preferably within 14 days of discovery, in writing or by email to info@bxtsolutions.nl. BXT responds substantively to a complaint within 5 working days.
24. Changes to these terms
BXT may change these terms. For ongoing subscriptions, BXT announces a change at least 30 days in advance. New agreements are governed by the version that applied when the agreement was formed.
25. Applicable law and disputes
Dutch law applies to all agreements. Disputes with a client that is a business are submitted to the competent court in the district where BXT is established. A consumer may also turn to the court that has jurisdiction by law. If a provision of these terms is invalid, the other provisions remain in force. If the Dutch and English versions of these terms differ, the Dutch version prevails.
